Performance-Based Consultancy and Client Fee Guarantee Policy<\/p>

  1. Purpose and Scope<\/li><\/ol>

    FindR technology is a technology and engineering solution developed within Be\u015fer Holding and used in natural resource exploration and target evaluation processes.<\/p>

    The purpose of FindR is to assist in the evaluation, classification and prioritization of client-defined targets for drilling or further investigation in oil, natural gas, mining, geothermal and similar natural resource projects.<\/p>

    As Be\u015fer Holding, we aim to demonstrate our confidence in FindR technology and in the engineering team that developed it not only through our technical work, but also through the commercial model we offer our clients.<\/p>

    Within this framework, the following core policy shall apply to FindR consultancy services.<\/p>

    \u2e3b<\/p>

    1. Competitive Pricing Policy<\/li><\/ol>

      Our fundamental approach to pricing the consultancy services offered by Be\u015fer Holding \u2013 FindR is to reduce the client’s cost as far as possible.<\/p>

      Where comparable proposals exist<\/p>

      If the client holds comparable proposals obtained from other consultancy companies for the same or substantially similar scope, FindR’s proposal will be submitted at 30% below the reference proposals, following a comparison of suitability and scope.<\/p>

      Where no comparable proposal exists<\/p>

      If no comparable consultancy proposal is available for the same service, FindR will aim to offer a competitive consultancy fee significantly below market conditions, taking into account the scope of service and the technical requirements of the project.<\/p>

      This policy is intended to enable clients to test FindR technology at a low initial cost and to pass on to the client, as far as possible, the potential economic benefit the technology provides.<\/p>

      \u2e3b<\/p>

      1. Escrow Fee Guarantee<\/li><\/ol>

        In FindR consultancy services, the consultancy fee may be held in an independent escrow account should the parties mutually agree to this.<\/p>

        Under this model, the following mechanism will apply:<\/p>

        Client \u2192 Escrow account \u2192 Evaluation of performance criteria \u2192 Payment to FindR or refund to the client<\/p>

        The amount held in the escrow account will not be transferred to FindR unless the performance conditions set out in the contract are met.<\/p>

        The conditions under which the funds will be released or refunded to the client will be established in writing between the parties before the project commences.<\/p>

        \u2e3b<\/p>

        1. Performance-Based Fee Policy<\/li><\/ol>

          One of FindR’s strongest commercial commitments is that, in suitable projects, the consultancy fee may be tied to predetermined, measurable performance criteria.<\/p>

          For example, if a client requests FindR to evaluate 10 specific well locations, then, in accordance with criteria expressly defined in advance in the contract:<\/p>

          Should FindR’s “producible hydrocarbon” criterion as defined in the contract fail to be met at any one of these 10 wells, FindR will not claim its consultancy fee.<\/p>

          In this case:<\/p>

          No payment is made to FindR.<\/p>

          The consultancy fee held in the escrow account is refunded to the client.<\/p>

          A similar model may also be applied in mining projects.<\/p>

          For example, should the mineralization sought at a given number of targets fail to meet the technical and economic criteria defined in the contract, the relevant performance condition may be deemed unmet and the consultancy fee may be refunded to the client.<\/p>

          \u2e3b<\/p>

          1. Defining “Success” in Advance<\/li><\/ol>

            FindR’s performance-based fee model will not be based on criteria that may be altered later or that are open to interpretation.<\/p>

            For each project, the following are established in writing, as far as possible before the contract is signed:<\/p>

            • The wells or targets to be evaluated,<\/li>
            • Coordinates,<\/li>
            • The date of record of FindR’s predictions,<\/li>
            • The scope of the predictions,<\/li>
            • The definition of “producible oil\/gas,”<\/li>
            • The definition of “economic mineralization,”<\/li>
            • The criteria for success and failure,<\/li>
            • How the drilling result will be verified,<\/li>
            • The conditions under which the escrow funds will be transferred to FindR,<\/li>
            • The conditions under which they will be refunded to the client<\/li><\/ul>

              The aim is thereby to prevent the parties from interpreting the results differently after the fact.<\/p>

              \u2e3b<\/p>

              1. FindR’s Risk Sharing<\/li><\/ol>

                We are aware that natural resource exploration activities are high-cost and high-risk.<\/p>

                For this reason, as FindR we do not wish to limit ourselves to telling our clients merely:<\/p>

                “We have confidence in our technology.”<\/p>

                We aim to translate this confidence into a concrete commercial model in the form of:<\/p>

                a low consultancy cost,<\/p>

                an escrow guarantee,<\/p>

                predetermined performance criteria<\/p>

                and, in suitable projects,<\/p>

                the refund of the consultancy fee where success is not achieved.<\/p>

                \u2e3b<\/p>

                1. Be\u015fer Holding Assurance and Corporate Structure<\/li><\/ol>

                  FindR technology forms part of the technology and engineering activities conducted within Be\u015fer Holding.<\/p>

                  Be\u015fer Holding’s experience in technology, R&D, quality and international operations provides the corporate infrastructure for the development and commercialization of FindR.<\/p>

                  In FindR’s commercial activities, contracts with clients will be conducted through the authorized company or relevant legal entity of Be\u015fer Holding, and the consultancy, escrow, performance criteria and refund conditions will be expressly set out in the relevant contracts.<\/p>

                  \u2e3b<\/p>

                  1. We Have Confidence in Our Technology<\/li><\/ol>

                    We are aware that such a performance commitment is a significant claim.<\/p>

                    We do not claim that any technology in the natural resource exploration sector eliminates geological and operational uncertainties entirely.<\/p>

                    However, the work carried out to date by the FindR engineering team and its field experience provide a strong basis for our confidence, as Be\u015fer Holding, in our technology.<\/p>

                    For this reason, we do not ask our clients merely to believe in FindR.<\/p>

                    We ask them to test our technology.<\/p>

                    And in suitable projects, we are prepared to share a significant portion of the financial risk of that test.<\/p>

                    \u2e3b<\/p>

                    1. Core Corporate Commitment<\/li><\/ol>

                      The approach of Be\u015fer Holding \u2013 FindR is:<\/p>

                      “We have confidence in our technology. Rather than asking our client to pay for that confidence up front, we prefer to demonstrate it through our performance.”<\/p>

                      For this reason, FindR aims to offer its clients, in suitable projects, a model comprising:<\/p>

                      A lower consultancy cost<\/p>

                      Fee security through escrow<\/p>

                      Predetermined, objective performance criteria<\/p>

                      Refund of the fee where the conditions are not met<\/p>

                        The fundamental idea behind FindR is simple:<\/p>

                        If we cannot reduce our client’s risk, we do not wish merely to collect a consultancy fee.<\/p>
